'The Attribution of Knowledge of Corporate Organs. A Study on the Direct and Indirect
Attribution of the Knowledge of Management Board and Supervisory Board Members to the Stock
Corporation': When is the knowledge of board members attributed to the stock corporation? The
thesis shows: the personal actions of a management board member always lead to attribution.
Without involvement the knowledge organization system applies - justifiable through the
principle of collective responsibility. For the supervisory board only the knowledge of the
plenary counts. And: if the supervisory board exerts influence the two organs may form a unit
relevant for knowledge attribution.
